All offers, orders and agreements of Charlotte Wooning are subject to these General Terms and Conditions, unless Charlotte Wooning agrees in writing to other conditions. Agreed departures from the conditions shall not entitle the customer to any rights in respect of future transactions.
The acceptance of an offer or placement of an order means that you accept these conditions. Departures from the provisions of these conditions are only possible if laid down in writing, in which case the other provisions shall continue to apply in full.
Charlotte Wooning reserves the right to revise these Terms and Conditions. Users are responsible for keeping themselves updated with such changes.
Special offers or any given discount can not be combined with other special offers.
terms and conditions of sale of goods for CHARLOTTE WOONING (en)
Following sales and delivery terms are valid for all orders unless otherwise confirmed by CHARLOTTE WOONING in writing. The placing of an order by the buyer implies that the buyer is aware of these conditions and accepts them without reservation.
Terms of Payment: 100% paid before shipment. CHARLOTTE WOONING is also entitled to cancel the order, either wholy or partly, or to suspend further execution of the order until all due invoiced amounts have been settled.
All goods supplied remain the property of CHARLOTTE WOONING until all invoices- including those not yet due- have been paid in full. For as long as the seller had amounts payable outstanding he shall be entitled to recall the goods and the buyer is not entitled to recall the goods in any form whatsoever (including as surely) to third parties nor to give them to third parties on consignment. In the case of recalled goods the buyer will be credited for the same as the market value of the said goods on the date of the recall.
Delivery dates will appear on the order confirmation. CHARLOTTE WOONING reserves the right to deliver 14 days outside the delivery date stated on the order confirmation.
If goods are not supplied on time or not supplied correctly, the buyer may not claim damages unless the same are the consequence of deliberate action or gross negligence on the part of the seller.
Upon receipt the customer must investigate all goods immediately. If goods or deliveries appear different to agreement a claim must be made in writing with a clear description of the complaint and are submitted to the seller within 2 weeks of receipt of the goods, provided the goods area still in the state in which they were delivered.
CHARLOTTE WOONING has the right to deviate from the order quantity in terms of colours and sizes as long as the deviation is not considered substantial.
In the event of justifiable claims, CHARLOTTE WOONING has the choise of either crediting the goods or repairing or replacing them within 30 days after receipt of the returned goods.
Circumstances of force majeure which delay or prevent the delivery of the goods shall release the seller from his duty to make a delivery on time and shall in no way be a reason to make the seller liable. By force majeure is understood, every circumstance beyond the seller’s control, such as, but not exclusively: war, riots, strikes, government measures, events of any kind that disrupt seller’s productions, disruptions in the normal supply of material and ancillaries to the seller, and hold-ups in the transport chosen by the seller.
CHARLOTTE WOONING reserves the right, by giving notice to the customer at any time before delivery, to increase the price of goods to reflect any increase in the cost to CHARLOTTE WOONING which is due to any factor beyond the control of CHARLOTTE WOONING such as and without limitation any foreign exchange fluctuations currency regulations, alterations of duties, significant increase in the cost of labor, material or other charges by manufacturer.
All agreement concludes under the terms of the conditions shall be governed by Dutch law.
